L2 advisory engagement
L2 Engagement Terms
Effective October 31, 2026
Version L23-2026-10-31
Your engagement
Provider: Duke Business Advisors, Inc., doing business as Lucensys Group. Client: the business and authorized owner identified in the engagement schedule.
The engagement
We help you evaluate one agreed growth decision against the business's capacity, cash requirements, delivery quality and reliance on the owner. The engagement schedule identifies that decision, the participating business, records to review, meeting arrangements and expected dates. Both parties agree that schedule before work begins. The 90-day plan is an action horizon, not a promise of 90 days of service.
Included work and deliverables
- Private L2 assessment and owner business brief.
- One discovery session of up to 60 minutes, with essential written follow-up.
- Review of selected supplied records material to the decision, ordinarily the latest 12 months where available. We agree the records needed; no unrestricted access to your systems is included or required.
- Comparison of the proposed growth move, at least one credible alternative and maintaining current commitments, where relevant to the agreed decision.
- A tailored report, plain-English score explanations, evidence limitations, supporting decision exhibits and complete answer interpretation appendix.
- A consolidated 90-day action sheet and plan covering days 1–30, 31–60 and 61–90, accountable roles to agree, measures, checkpoints and proceed/pause conditions.
- One owner decision debrief of up to 60 minutes and a record of the decision or the evidence still required before a decision can be made.
Fee and two-payment option
The total service fee is USD $1,997. No sales tax is added. Under the two-payment option, $998.50 is due before advisory work begins and $998.50 is due when the current internally approved report and 90-day plan are ready for private delivery. The balance is due on the ready-for-delivery notice, before report release. There is no installment surcharge, interest, subscription or automatic second charge. You initiate each payment through the provided Stripe invoice page. The engagement schedule identifies these amounts and the agreed payment plan. A pay-in-full alternative requires a separately agreed schedule and confirmation that no installment has already been paid; never pay both plans for one engagement. Payment is for the agreed advisory work, report, plan and meeting obligations. It does not buy a particular assessment score or guarantee a business outcome.
Your information and scheduling
You authorize the supplied information and identify the decision-makers who may participate. Provide records through the agreed private method, with unrelated personal information removed where practicable. Tell us about material changes. Dates depend on agreed availability and receipt of essential information. If records are missing, we agree either a revised timetable or a useful conditional report with explicit limitations. We do not silently replace evidence review with an unqualified questionnaire summary. Additional work needs a separate written scope.
Review, corrections and completion
You may identify factual errors during the agreed factual review and within 30 calendar days after report release. One consolidated factual correction pass is included. New circumstances, expanded analysis or a different business decision require a separate agreement. Original assessment answers and scores remain intact; corrections and qualifications are documented separately. Revised approved content must be reviewed again before a new version can be released. Completion requires the agreed report/plan and debrief obligations to be fulfilled, or your written agreement to defer the debrief. Paying or approving a draft does not itself complete delivery. A missed meeting is rescheduled by agreement; these terms impose no automatic no-show charge or forfeiture.
Cancellation, refunds and an interrupted engagement
Before advisory work begins, cancellation receives a full refund of amounts paid. After work begins, contact us to review completed work, outstanding deliverables and the reason for cancellation. Any retained fee and refund must be explained in writing against work actually performed; these terms create no automatic nonrefundable deposit, cancellation penalty, late fee or automatic balance charge. If essential information or participation is unavailable, we pause and seek a written plan to resume, narrow or close the engagement. Unperformed work must be addressed in that agreement. We confirm in writing when advisory work starts.
Limits of the work
This is advisory analysis of reported and supplied information. It is not an audit, assurance engagement, formal valuation, legal or tax opinion, security audit, transaction representation, implementation service or ongoing coaching. Financial examples distinguish evidence, owner estimates and assumptions. No revenue, profit, financing, valuation or sale result is guaranteed. Specialist work requires an appropriately qualified adviser under a separate arrangement.
Confidentiality, data and report use
We use the information for this engagement and its administration as described in the accompanying privacy notice. Reports are prepared for your business's agreed decision; third parties should not treat them as independent assurance. Tell us before asking us to distribute the report or permit reliance for another purpose. Internal advisor notes, raw records and other clients' information are not part of the client report. Staff contact requires separate express authorization.
Acceptance and delivery controls
Your accepted engagement schedule and the exact terms/privacy versions form the record of agreement. Written acceptance must come from an authorized person; an advisor recording it must retain its source, date and document fingerprint. Payment never changes scores, approves a report, releases it or grants client access. Internal approval alone sends no balance request. The advisor separately confirms delivery readiness, requests the balance and verifies payment; release remains a separate advisor action using the approved version and private access mechanism.
